Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Standard Form Inc. (“Standard Form,” “we,” “our,” or “us”), including our website, web applications, integrations, and AI-powered physician scheduling platform (collectively, the “Service”).
By using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
1. Definitions
User (“you,” “your”) means hospitals, physician groups, residents, administrators, or individual physicians using the Service.
Content means any schedules, calendar data, or information created, uploaded, or stored through the Service.
AI Features means scheduling suggestions or recommendations generated by the Service.
2. Accounts and Security
2.1 Account Creation. To use the Service, you must register an account and provide accurate and complete information.
2.2 Security. You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity under your account. Notify us immediately of unauthorized use.
3. Service Description and Limitations
3.1 Scheduling Services. The Service provides scheduling automation and optimization tools for physicians and healthcare organizations.
3.2 AI Features. AI outputs are suggestions only. Final scheduling decisions remain the responsibility of you, your organization, or your administrators. We are not responsible for staffing, compliance, or clinical outcomes resulting from AI outputs.
3.3 Integrations. The Service integrates with third-party calendars (e.g., Google Calendar, Outlook). We are not responsible for the performance or security of third-party services.
3.4 Service Availability. The Service is provided on an “as is” basis without any guarantee of uninterrupted access. Features may change, be updated, or discontinued at our discretion.
4. Subscriptions and Payments
4.1 Free Trial. New users receive a one-week free trial with limited access.
4.2 Plans and Billing. Subscriptions are billed monthly. Pricing is displayed at the time of subscription and may be updated with prior notice.
4.3 Payments. Payments are processed through third-party payment processors. Subscriptions automatically renew unless cancelled before the renewal date.
4.4 Refunds. We offer a 14-day refund policy for new subscriptions. Refunds do not apply to renewals.
5. Acceptable Use
You agree not to use the Service to:
Resell or sublicense the Service without authorization.
Misuse physician schedules for non-clinical purposes.
Violate any applicable laws, regulations, or third-party rights.
Attempt to access the Service in unauthorized ways or disrupt its functionality.
6. User Content
6.1 Ownership. You retain ownership of your Content. You grant Standard Form a license to process your Content only as necessary to provide the Service.
6.2 Restrictions. Content must not violate laws, infringe intellectual property, or contain harmful code.
7. Data Privacy and Security
7.1 No Patient Data. The Service is not intended for use with patient data or Protected Health Information (PHI).
7.2 Data Processing. We process your data in accordance with our Privacy Policy. Data is only collected and used for Service functionality, not for analytics or advertising.
7.3 Retention. We retain only the data necessary to provide scheduling and related functionality. Upon termination, your data will be deleted or anonymized, except as required by law.
8. Termination
8.1 By You. You may cancel your account at any time.
8.2 By Us. We may suspend or terminate your account if you: (a) fail to pay fees; (b) violate these Terms; (c) misuse the Service; or (d) present security or compliance risks.
8.3 Effect of Termination. Upon termination, access to the Service will cease. You are responsible for exporting your data before termination.
9. Intellectual Property
9.1 Ownership. The Service, software, and branding are owned by Standard Form. You may not copy, modify, or reverse engineer the Service.
9.2 Feedback. Suggestions or feedback you provide may be used by us without restriction or compensation.
10. Disclaimers and Limitations
10.1 No Warranty. The Service is provided “as is” and “as available.” We make no warranties of accuracy, reliability, or fitness for a particular purpose.
10.2 AI Disclaimer. AI scheduling features provide recommendations only. You are solely responsible for reviewing, validating, and approving schedules.
10.3 Limitation of Liability. Our total liability is limited to the amount you paid for the Service in the 12 months prior to the claim. We are not liable for indirect, incidental, or consequential damages.
11. Changes to Terms
We may update these Terms from time to time. Changes are effective when posted to our website. Major changes will be emailed. Continued use of the Service constitutes acceptance.
12. General Provisions
Governing Law. These Terms are governed by the laws of the United States of America. Any disputes will be resolved in the courts of [insert state, e.g., Delaware or California].
Severability. If any provision is invalid, the rest remain in effect.
Entire Agreement. These Terms represent the entire agreement between you and Standard Form.
